Websites for new New York businesses

Formed your LLC with the New York Department of State? New York has a requirement most new owners don't expect: within 120 days your new LLC must publish a notice in two newspapers, or lose its authority to do business. Here is that and the other early steps in order, plus what your website should show. We build the site as a working draft within 48 hours.

Where New York businesses register

A New York LLC files Articles of Organization with the Department of State, Division of Corporations, online or by mail. The filing fee is $200 (Forming an LLC in New York · DOS fee schedules).

The 120-day publication requirement

Under Section 206 of the Limited Liability Company Law, a new LLC publishes a copy of its articles, or a notice about its formation, in two newspapers for six weeks in a row. The county clerk of the county where the LLC's office is located designates the newspapers. Within 120 days of filing the articles, the LLC files a Certificate of Publication, with the newspapers' affidavits, at the Department of State — the fee is $50. An LLC that misses it has its authority to do business suspended until it complies (Department of State).

The newspaper cost depends on the county and the papers, so ask before you choose; it is the one early New York cost you can't look up on a state fee schedule.

The other early steps

  1. EIN from the IRS — free, online (IRS).
  2. Certificate of Authority, if you will collect sales tax: apply through NY Business Express at least 20 days before you start doing business. Making taxable sales without one can bring a penalty of up to $10,000 (NY Department of Taxation and Finance).
  3. Assumed name, if you trade under another name. An LLC files a Certificate of Assumed Name with the Department of State; the fee is $25 (Certificate of Assumed Name).
  4. Licences. The DOS Division of Licensing Services licenses occupations such as real estate brokers, home inspectors, cosmetologists and barbers (Division of Licensing Services). In New York City, home improvement contractors also need a licence from the Department of Consumer and Worker Protection (NYC DCWP).
  5. Biennial statement. Every two years, in the month your articles were filed, the LLC files a biennial statement with the Department of State — $9 (biennial statements).

A New York first year, in dates

  • Day 0: Articles of Organization filed with the Department of State ($200); EIN from the IRS the same day, free.
  • Weeks 1–8: ask the county clerk which two newspapers to use, then run the notice for six consecutive weeks.
  • By day 120: Certificate of Publication and affidavits filed with the Department of State ($50) — the deadline that suspends an LLC if missed.
  • At least 20 days before your first taxable sale: Certificate of Authority through NY Business Express.
  • Every two years, in your filing month: the $9 biennial statement.

What a New York business website should show

  • Your licence — a DOS licence, or the DCWP home improvement licence in the city. it answers the first question of anyone hiring for work at home.
  • Boroughs, counties and towns you serve. "New York" could mean anywhere in the state; "Brooklyn and Queens" or "Westchester and Putnam" tells a customer and Google where you work.
  • The name you are registered or assumed under, the same on the site, invoices and Google profile.
  • A fast booking or quote path on a phone — most first visits happen on the go.

Your Google Business Profile matters as much as the site; our step-by-step guide covers it.
